On October 29, 2026, Strategy Inc (the “Company”) filed with the Secretary of State of the State of Delawarefour amended and restated certificates of designations:

•
STRF Stock: Amended and Restated Certificate of Designations of the Company's 10.00% Series A Perpetual Strife Preferred Stock (the “A&R STRF Stock CoD”);
•
STRC Stock: Second Amended and Restated Certificate of Designations of the Company's Variable Rate Series A Perpetual Stretch Preferred Stock (the “Second A&R STRC Stock CoD”);
•

•
STRD Stock: Amended and Restated Certificate of Designations of the Company's 10.00% Series A Perpetual Stride Preferred Stock (the “A&R STRD Stock CoD” and, together with the A&R STRF Stock CoD, the Second A&R STRC Stock CoD and the A&R STRK Stock CoD, the “A&R CoDs”).

The Second A&R STRC Stock CoD will become effective at 12:01 a.m., Eastern Time, on November 1, 2026, and the Amended Certificates of Designations for the STRF Stock, STRK Stock and STRD Stock will become effective at 12:01 a.m., Eastern Time, on January 1, 2027 (each, the “Applicable Effective Time”). Until the Applicable Effective Time, each series will continue to be governed by its applicable existing certificate of designations.

Each A&R CoD provides for regular dividends to have a record date on each calendar day and to be payable (if declared) on the following Business Day (as defined in the applicable A&R CoD), together with such conforming and related changes as set forth therein. The modification does not increase or decrease the total amount of regular dividends payable on the STRF Stock, the STRC Stock, the STRK Stock or the STRD Stock, change any of STRF Stock’s, STRC Stock’s, STRK Stock’s or STRD Stock’s dividend rates, increase or decrease the Company’s overall dividend payment obligations, or, other than as it pertains to the change in the frequency of dividend payments and other related changes, change the applicable rights and protections associated with each of STRF Stock, STRC Stock, STRK Stock and STRD Stock dividends.

As set forth below, the A&R CoDs were approved and adopted by the Company’s stockholders at the Company’s Special Meeting of Stockholders held on October 28, 2026 (the “Special Meeting”). Additional information regarding the A&R CoDs can be found in the Company’s definitive proxy statement filed with the Securities and Exchange Commission (the “SEC”) on October 5, 2026 under the heading “Proposal 1 — APPROVAL AND ADOPTION OF AN AMENDED AND RESTATED CERTIFICATE OF DESIGNATIONS FOR EACH OF THE COMPANY’S 10.00% SERIES A PERPETUAL STRIFE PREFERRED STOCK, VARIABLE RATE SERIES A PERPETUAL STRETCH PREFERRED STOCK, 8.00% SERIES A PERPETUAL STRIKE PREFERRED STOCK AND 10.00% SERIES A PERPETUAL STRIDE PREFERRED STOCK, TO PERMIT DAILY DIVIDENDS.”

The foregoing description of the A&R CoDs is qualified in its entirety by reference to the A&R CoDs, copies of which are filed as Exhibits 3.1 through 3.4 hereto and incorporated herein by reference.

As previously disclosed in the Company's Current Report on Form 8-K filed with the SEC on October 16, 2026, the Company declared daily dividends on STRC Stock with record dates on each calendar day from November 1 through November 30, 2026 and payment date on the next Business Day following its respective record date (the “November Daily Dividends”), subject to the satisfaction of the following events (the “Contingent Dividend Condition”):

Accordingly, upon the Second A&R STRC Stock CoD’s effectiveness, the November Daily Dividends will be payable in accordance with their terms.
