At June 30, 2026, goodwill totaled $95.7 million and is expected to increase by an additional $33.9 million as a result of the Merger. Management completed its annual impairment assessment at the consolidated reporting unit level and considered relevant qualitative factors, including overall financial performance, credit quality, capital and liquidity, economic and market conditions, interest rates, integration activities and other entity-specific events. Based on this assessment, management concluded that it was not more likely than not that the fair value of the consolidated reporting unit exceeded its carrying amount. Accordingly, no quantitative impairment test was required, and no goodwill impairment charge was recorded for the year ended June 30, 2026.
